1. Acceptance of Terms

By accessing or using Xpendee at https://xpendee.com, you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, do not use the platform.

These Terms constitute a legally binding agreement between you and Finity Sync.

2. Eligibility

You must be at least 18 years of age to use Xpendee. By using the platform, you represent and warrant that you are 18 or older and legally capable of entering into binding contracts under applicable Pakistani law.

3. Description of Service

Xpendee is a B2B SaaS platform designed for freelancers and agencies. It provides the following features:

  • Invoice creation and management (USD and USD)
  • Contract creation with OTP-based e-signature
  • Proposal management
  • Expense and P&L tracking
  • White-label client portals
  • Freelancer and project management

4. Account Registration and Security

  • You are responsible for maintaining the confidentiality of your account credentials.
  • You agree to provide accurate and complete registration information.
  • You are responsible for all activities that occur under your account.
  • You must notify us immediately at [email protected] if you suspect unauthorized access to your account.
  • Finity Sync reserves the right to suspend or terminate accounts that violate these Terms.

5. Subscription and Payment

5.1 Subscription Plans

Access to Xpendee is available through paid subscription plans as displayed on our Pricing page.

5.2 Payment Method

All subscription payments are made securely via our authorized online payment processor (Paddle) using supported credit/debit cards, PayPal, and digital payment methods.

5.3 Payment Verification

Subscriptions are activated immediately upon successful payment authorization through the automated checkout.

5.4 Refund Policy

All payments are non-refundable unless explicitly agreed otherwise in writing by Finity Sync or required by mandatory consumer regulations.

5.5 Free Trial Evaluation

We may offer new Tenants a limited free trial period (typically 7 days) to evaluate Xpendee's core features. Upon expiration of your free trial, your account will enter an expired state with restricted access unless upgraded to an active paid subscription.

6. Acceptable Use

You agree not to:

  • Use Xpendee for any illegal, fraudulent, or unauthorized purpose
  • Create fake invoices, contracts, or financial records intended to deceive
  • Attempt to hack, reverse engineer, or gain unauthorized access to any part of the platform
  • Upload malicious files or content
  • Violate the intellectual property rights of Finity Sync or any third party
  • Impersonate another person or entity

Violation of these rules may result in immediate account termination without refund.

7. Client Data and Tenant Responsibility

  • As a Tenant, you are responsible for the accuracy and legality of the client data you enter into Xpendee.
  • You represent that you have obtained necessary consent from your clients to store their information on the platform.
  • Finity Sync is not responsible for the content of invoices, contracts, or proposals created by Tenants.

8. E-Signatures

Xpendee provides OTP-based e-signature functionality for contracts. By using this feature:

  • You acknowledge that e-signatures generated through Xpendee are intended to serve as binding electronic signatures.
  • The legality of electronic signatures in your jurisdiction is your responsibility to verify.
  • Finity Sync stores signature data (name, email, timestamp, and signature image) as evidence of the signing event.

9. Intellectual Property

  • All platform code, design, branding, and content of Xpendee is the intellectual property of Finity Sync.
  • You are granted a limited, non-exclusive, non-transferable license to use the platform for its intended purpose.
  • You may not copy, reproduce, distribute, or create derivative works from any part of Xpendee without written permission from Finity Sync.

10. Availability and Downtime

  • We strive to maintain platform availability but do not guarantee uninterrupted access.
  • We are not liable for losses resulting from planned or unplanned downtime, server maintenance, or hosting issues.

11. Limitation of Liability

To the maximum extent permitted by Pakistani law:

  • Finity Sync is not liable for any indirect, incidental, or consequential damages arising from the use or inability to use Xpendee.
  • Our total liability for any claim shall not exceed the amount you paid to us in the 30 days prior to the claim.

12. Inactivity, Data Retention, and Account Termination

  • Voluntary Termination: You may request account closure at any time by contacting our support team at [email protected].
  • Abandoned & Ghost Accounts: Accounts registered with unverified email addresses that exhibit zero platform activity (such as zero invoices, clients, or expenses created) may be automatically and permanently purged after 14 days without prior notice to preserve system security and prevent automated spam abuse.
  • Expired Trial Inactivity & Archival: Free trial accounts that remain expired and inactive for more than 60 consecutive days without an active paid subscription will be automatically moved into an archived state. Archived tenant data is retained for a maximum grace period of 90 days from trial expiration, during which users may request account reactivation or data export. Following this period, all associated client records, financial transactions, and uploaded media are permanently and irreversibly deleted from our live production databases.
  • Termination for Cause: Finity Sync reserves the right to suspend or terminate any account immediately, without prior notice or refund, for material breach of these Terms, abusive conduct, fraudulent financial activities, or non-payment.
  • Data Export Responsibility: Tenants are solely responsible for downloading and archiving their invoices, reports, and client data prior to account expiration or termination. Finity Sync assumes no liability for data lost following automated cleanup cycles.

13. Email Communications & Deliverability Policy

To ensure seamless platform operations and uphold email reputation standards across the internet:

  • Transactional Communications: By registering, you agree to receive essential service messages, including OTP security codes, password resets, billing notifications, and critical operational updates. These cannot be disabled while maintaining an active account.
  • Release Notes & Product Updates: Broadcast communications regarding new feature releases and platform enhancements are distributed exclusively to active subscribers and verified active trial accounts. Tenants retain the right to manage notification preferences within their dashboard settings.
  • Bounce Suppression & Sender Protection: To protect our sending domains against blacklisting and enforce strict compliance with global email deliverability standards (including SPF, DKIM, and DMARC), our automated delivery pipelines permanently suppress dispatches to invalid, non-existent, or repeatedly bouncing recipient email addresses without prior notice.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of the Islamic Republic of Pakistan. Any disputes arising out of or related to these Terms shall be subject to the exclusive jurisdiction of the courts of Pakistan.

15. Changes to Terms

We reserve the right to update these Terms at any time. Updated Terms will be posted on this page with a new effective date. Continued use of Xpendee after changes constitutes your acceptance of the updated Terms.
